As a partner engaged to advise on capital formation, Sweetwater guides a client through the complicated process of structuring and obtaining the most appropriate financing package given its specific operating characteristics and transaction needs.

Our clients benefit from Sweetwater’s broad network of investors and lenders through which we offer clients “one-stop-shop” access to a multitude of capital sources including:

  • Asset-Based Senior Lenders
  • Cash-Flow Based Senior Lenders
  • Credit Enhancement Vehicles
  • Mezzanine Capital
  • Private Equity Capital
  • Venture Capital
Our process and expertise include:

Assessment & Structuring - Corporate finance assignments begin with a detailed review of our client’s business in order to gain an intricate understanding of its business model, marketplace, strengths and weaknesses and transaction objectives.

Company Positioning - Sweetwater develops a comprehensive information memorandum based on a proven formula that the investment community has come to expect. This document is tailored to each situation and will include: (i) a detailed discussion on the company's business, its history, competitive landscape, growth strategy, operations, sales and marketing, employees and management, ownership and capital structure; (ii) a description of the proposed transaction and its investment considerations; and (iii) an extensive financial analysis including a detailed financial projection model with credit statistics and rate of return analyses tailored to the target investor audience.

Investor Solicitation & Negotiation - Based on the transaction objectives, the opportunity is marketed to the appropriate lenders and investors in Sweetwater’s capital network. Financing proposals are gathered and a short list of potential partners is created from which term sheets are negotiated.

Closure - Unlike other advisors, our involvement does not end upon acceptance of a term sheet. Sweetwater continues to represent a client through the crucial periods of due diligence, negotiation and execution of closing documents.
